Terms of Service

1. Agreement to Terms

By accessing or using Soleraq's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms apply to all visitors, users, and clients of Soleraq.

2. Description of Services

Soleraq provides AI-assisted, human-supervised communication management services for businesses. Our services include, but are not limited to:

• Interaction Acknowledgement — AI-drafted, human-reviewed responses to inbound client emails
• Lead Reply — AI-drafted, human-reviewed responses to inbound sales enquiries
• Appointment Booking Management — handling booking requests, confirmations, and reminders
• Review Management — professional responses to online reviews
• Order Communications — handling order-related email communications

All AI-generated drafts are reviewed and approved by a human member of our team before being sent to your clients or customers. We do not guarantee specific response times, but aim to respond within the timeframes stated in your service plan.

3. Account Registration and Onboarding

To use our services, you must complete our onboarding process and provide accurate, complete information about your business. You are responsible for maintaining the accuracy of this information and for any activity that occurs under your account.

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your business. By registering, you represent and warrant that you meet these requirements.

4. Payment and Billing

Our services are provided on a subscription basis. By purchasing a plan, you agree to:

• Pay the applicable setup fee at the time of purchase
• Pay the monthly subscription fee on a recurring basis from your subscription start date
• Provide accurate billing information and maintain a valid payment method

All prices are displayed in GBP (£) and are exclusive of VAT unless otherwise stated. Payments are processed securely by Stripe. We do not store your full card details.

Setup fees are non-refundable. Monthly subscription fees are non-refundable once the billing period has commenced, except where required by law.

5. Cancellation Policy

You may cancel your subscription at any time by contacting us at hello@soleraq.co.uk or through your client portal. Cancellations take effect at the end of the current billing period. You will continue to have access to the service until the end of the period you have paid for.

We reserve the right to cancel or suspend your account if you breach these Terms, fail to make payment, or engage in conduct that is harmful to Soleraq or other users.

6. Your Responsibilities

By using our services, you agree to:

• Provide us with accurate information about your business, brand voice, and communication preferences during onboarding
• Grant us access to the email accounts or communication channels required to deliver the service
• Review and approve any AI-generated drafts before they are sent (where applicable to your plan)
• Not use our services for any unlawful, fraudulent, or harmful purpose
• Not use our services to send spam, unsolicited messages, or communications that violate applicable laws
• Comply with all applicable laws regarding electronic communications, including GDPR and the Privacy and Electronic Communications Regulations (PECR)

7. Intellectual Property

All content, branding, software, and materials on the Soleraq platform are owned by or licensed to Soleraq and are protected by intellectual property laws. You may not copy, reproduce, or distribute any part of our platform without our prior written consent.

You retain ownership of all content you provide to us, including email content and business information. By providing this content, you grant us a limited licence to use it solely for the purpose of delivering our services to you.

8. Confidentiality

We treat all client email content and business information as strictly confidential. Our staff are bound by confidentiality obligations. We will not disclose your information to third parties except as required to deliver the service (e.g., AI model providers) or as required by law.

9. Limitation of Liability

To the fullest extent permitted by law, Soleraq shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of profits, loss of data, or loss of business opportunities.

Our total liability to you in connection with our services shall not exceed the total fees paid by you in the three months preceding the claim.

We do not guarantee that every AI-generated draft will be error-free or perfectly suited to your needs. Our human review process is designed to catch and correct errors, but we cannot guarantee perfection. You remain responsible for the final content sent to your clients.

10. Indemnification

You agree to indemnify and hold harmless Soleraq, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your breach of these Terms, or your violation of any applicable law.

11. Service Availability

We aim to provide a reliable and consistent service, but we do not guarantee uninterrupted availability. We may temporarily suspend the service for maintenance, upgrades, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance where possible.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
